Ready or Not - The Board's Role in a Crisis

Join your director peers and seasoned experts for a unique simulation exercise to experience how boards can up their game in dealing with an unanticipated crisis. In this interactive workshop, you and other participating directors will act as the Board of Directors of a company with an evolving crisis. As the situation unfolds, you will have the opportunity to develop a strategy, craft responses, and evaluate preparedness. Directors, attorneys and financial communications crisis management specialists will guide the simulation and discuss the business, communications and legal ramifications of what directors decide to do each step of the way. Participants will leave the program with a heightened sense of the hows and whys of a Board's role in a crisis - not to mention the pitfalls and unintended consequences that often accompany these situations. A similar session was one of our best received programs last year. We hope you will join us.

Andrea Rose

Andi has extensive experience developing and implementing investor relations and financial communications programs and also advises clients on special situations. Her areas of expertise include:

Matthew Sherman

A founding member of the firm and named President in August 2013, Matt has nearly 20 years of experience providing strategic corporate, financial and crisis communications counsel to Boards of Directors and executive leadership of public corporations and private equity firms involved in M&A, hostile takeovers, proxy contests, shareholder activism defense, spin-offs, reorganizations, financial restructurings, management changes, litigation, regulatory actions and a wide range of corporate crises. His areas of expertise include:

In 2012 Matt received The M&A Advisor’s “40 Under 40” Recognition Award, and in 2007 he was named to PR Week’s inaugural “40 Under 40” list. He received an MBA from Columbia Business School and a BA in international relations and a BA in communications from the University of Pennsylvania.

Mark Gerstein

Partner, Latham & Watkins LLP

Mr. Gerstein's practice focuses on mergers and acquisitions, both in the US and globally, corporate governance (including in the restructuring context) and takeover defense planning. He has frequently represented special committees of boards of directors, bidders and financial advisors in going-private and other conflict of interest transactions. His experience also includes advancing and defending both friendly and unsolicited tender offers and he has similarly represented both insurgents and management in proxy contests for the control of public companies.

Mr. Gerstein has provided mergers and acquisitions counseling to numerous public and private companies, including A.O. Smith, Delphi Automotive, GATX Corporation, Host Hotels and Resorts (a public REIT), IDEX Corporation, Koch Industries, Libbey Inc., Orbitz Worldwide Inc., QEP Resources, Inc., Simon Property Group and The Toro Company. Mr. Gerstein also advises lenders and financial advisors in financial and strategic acquisitions.
