More than twelve years ago the New York Stock Exchange ruled that Boards of Directors should assess themselves annually to help improve their performance and to record the results in the proxy statement. This was a well-intentioned ruling and one which, to the best of our knowledge, has not harmed any company or Board of Directors. To the contrary, the results of this practice have proven how successful it is when properly conducted; but what if it is not? What is actually happening? Why are some Boards successful and others not? What criteria can be used to measure a Board's progress?
NACD New York has assembled some of the best practitioners in the Board Space. They will share their experiences and their observations of what works, what needs to change and what they believe the best practices going forward should be. Angela Brock-KyleFounder and CEO of B.O.A.R.D.S.
Angela Brock-Kyle is Founder and CEO of B.O.A.R.D.S., a privately held governance, strategy and risk advisory firm launched in 2013. In addition, Angela chairs the Audit Committee of Infinity Property and Casualty Corporation (NASDAQ) and serves on its Nominating and Governance committee. She is an Independent Trustee of the Guggenheim/Rydex Funds serving on the audit, compliance and risk, and governance committees and the YMCA Retirement Fund Board serving on the investment and compensation committees. Prior to pursuing board and governance work, Angela spent her 25 year career in investments, risk management and as a senior leader at TIAA. Angela was recognized in 2016 by Directors & Boards Magazine as a Director to Watch, by the NACD as one of 100 influential directors in 2015 and is an NACD Board Leadership Fellow.
Justus O'BrienManaging Director, Russell Reynolds
Justus O’Brien is co-leader of the Russell Reynolds Associates' Board and CEO Advisory Group and serves as a Managing Director in the New York office. He advises corporate boards and CEOs in corporate governance, CEO succession planning, board succession planning and refreshment, board and committee evaluations, activism, digital transformation, diversity, and governance benchmarking. Justus is a trusted advisor to FTSE and Fortune 100 companies across all major industry sectors. Justus has decades of executive search experience advising global companies in the consumer, healthcare, industrial and energy, financial services and technology sectors. Prior to joining the firm, he held various senior leadership roles over the course of his search career. Justus has extensive overseas experience having lived and worked in Brazil, Spain, Venezuela and the U.K. and brings an in-depth global perspective on business solutions. He is highly involved with professional affiliations and serves on many boards. Justus is on the Board of Advisors for Oxford Rothermere American Institute as well as the Aspen Institute Business & Society Program. He is also a Director of Arundel Capital and a member of the Council for Foreign Relations. Rusty O'KelleyManaging Director, Russell Reynolds
Jack “Rusty” O’Kelley, III Rusty O’Kelley is a Managing Director in the firm’s New York office and is the Global Head of the Board Consulting and Effectiveness Practice. He advises corporate boards and CEOs in the areas of corporate governance (U.S. and global), board succession planning and refreshment, board assessments and CEO succession planning. Rusty advises Fortune 500 companies in all major industries. He assists numerous companies with multi-year CEO succession planning by designing a process and providing the board ongoing counsel. In 2016, Rusty was honored as one most influential people in the boardroom as a member of the NACD Directorship 100. Prior to joining the firm, Rusty served as Managing Partner of the Americas Leadership Consulting Practice for another global consulting firm. Before that, he was a Principal with Katzenbach Partners where he developed and led the firm's CEO succession planning and transition practice. Rusty began his career as a corporate lawyer at Sullivan & Cromwell where he specialized in bank mergers and acquisitions, securities regulation and corporate governance. Rusty earned his B.S. in accounting from Hampton University and graduated as valedictorian with honors, summa cum laude. He received his J.D. from Yale Law School.
